The terms and conditions set out in this document, as amended from time to time (the “Terms”), constitute a legal agreement between you and ConsulNet Computing Inc. (“ConsulNet”) and govern your use of all websites, applications, referral and marketing tools, communication systems, and related services provided by ConsulNet and its licensors under the Referably.net platform (collectively, the “Referably Services”).

These Terms come into effect upon the earlier of your acceptance (as evidenced by creating an account, signing an agreement, or accepting via the Referably.net website) or the date ConsulNet enables access to any portion of the Referably Services for you (such as referral tracking tools, vendor network features, or subscription services) (each a “User-Specific Service”).

ConsulNet may revise these Terms at any time without notice by updating the posted version at https://Referably.net/eula and changing the “Effective Date” at the top. It is your responsibility to review the Terms periodically. If you do not accept the amended Terms, you must notify ConsulNet and cease all use of the Referably Services. Continued use of the Referably Services will constitute your acceptance of the revised Terms as of their effective date.

The Referably app is available on the Apple App Store and has its own End User License Agreement (“EULA”). In the event of an inconsistency, these Terms shall take precedence to the extent of the inconsistency.

2. Eligibility

Eligibility To use Referably, you must be at least 18 years old and legally capable of entering into a binding agreement. By creating an account, you confirm that you meet these requirements and that all information you provide is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree not to impersonate another individual or business, and to notify us immediately of any unauthorized use or suspected breach of your account. We reserve the right to suspend or terminate access to the Platform if you fail to meet eligibility requirements or violate these Terms of Service.

All software, trademarks, logos, and other materials on the Platform, apart from user-submitted listings and offers, belong to or are licensed to Referably.

9.1 Limited Promotional License

We grant you a non-exclusive, non-transferable, revocable license to:

Display the Referably name and logo for the sole purpose of discussing, reviewing, or recommending the service on social media, blogs, or other non-commercial channels;

Do not sell merchandise, ads, or paid content featuring our marks without a separate license.

9.2 Reservation of Rights

Except for the limited license above, all rights are reserved. Nothing in these Terms transfers ownership of our intellectual property.

10. Termination

10.1. User Content and Code of Conduct

You may stop using Referably at any time. We reserve the right to suspend or terminate your account if we believe you are violating these Terms or inappropriately using the Platform.

You are responsible for any content you upload, submit, or share through the Platform, including business listings, referral comments, offers, profile data, and reviews (“User Content”). You represent that you have the right to share such content and that it does not infringe upon any third-party rights.

You agree not to upload, post, transmit, or otherwise make available any content that:

By submitting User Content, you grant Referably a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify (for display/formatting only), distribute, publicly perform, and publicly display such content solely in connection with operating and promoting the Platform.

You retain ownership of your content. We do not claim any intellectual property rights over your original work. However, we may remove or disable access to content that violates these Terms or applicable law, at our sole discretion.

11. Disclaimers and Limitation of Liability

Referably is provided “as is” without warranties of any kind. We do not guarantee the accuracy of listings, that any referral will result in business, revenue, or any desired outcome, or the reliability of partners.

To the maximum extent permitted by law, Referably is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform.

12. Modifications to Terms

We may update these Terms periodically without notice. Continued use after the effective date of any update constitutes acceptance.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to the Platform or these Terms (collectively, “Disputes”) are governed by, and must be construed in accordance with, the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law provisions.

13.2 Informal Resolution

Before either party initiates formal proceedings, the parties agree to make a good-faith effort to resolve any Dispute through informal negotiation. A party that intends to seek relief must first send the other party a written notice describing the nature of the dispute and the requested relief. If the parties cannot resolve the Dispute within thirty (30) days after the notice is received, either party may proceed as set out below.

13.3 Small-Claims Option

Either party may bring an individual action for monetary or equitable relief in a small-claims court of competent jurisdiction in Ontario, provided the claim is within that court’s limit and is not joined to any other action.

13.4 Binding Arbitration

Except for Disputes that qualify for small-claims court or involve injunctive relief for intellectual-property misuse, any remaining Dispute must be resolved by final, binding arbitration under the Arbitration Rules of the Canadian Arbitration Association (the “CAA Rules”).

13.5 Class-Action Waiver

You and Referably agree to resolve Disputes only on an individual basis. Neither party may participate in or bring a claim as a plaintiff or class member in any purported class, consolidated, or representative proceeding or arbitration.

13.6 Severability of Dispute-Resolution Terms

If any portion of this Section 13 is found unenforceable, that portion will be severed and the remainder will remain in full force, except that the class-action waiver in §13.5 will be enforced to the maximum extent permitted by law.

14. Data Security and Retention

We implement reasonable technical and organizational safeguards intended to protect your personal and business information against unauthorized access, loss, or misuse. These measures may include encryption, secure hosting, access controls, and monitoring practices.

We retain your data only as long as necessary to fulfill the purposes described in these Terms or as required by law. After account closure or a valid deletion request, we take reasonable steps to delete or de-identify your information unless legally obligated to retain it.

We may access, preserve, or disclose your information if required to do so by law or if we believe in good faith that such access, preservation, or disclosure is reasonably necessary to:

Referably services and software may be subject to export and re-export control laws and regulations of Canada and other jurisdictions, including but not limited to the U.S. Export Administration Regulations (EAR).

16. Data Access and Export

You may access and export certain personal or business data that you have directly provided or generated through your activity on the Platform. This includes your profile information, manually added contacts, referral history, and any offers or content you have created. Export formats may include standard formats such as CSV or JSON, depending on availability.

Please note: You may not export data that you did not directly submit or control.

This restriction ensures that user privacy and network integrity are maintained.

Export requests may be subject to identity verification and processing times of up to 30 days. We reserve the right to restrict or deny export requests that conflict with privacy, security, or intellectual property concerns.
